The Management Board of Globe Trade Centre S.A. (the “Company”) hereby informs that pursuant to Articles 7.1.1, 7.1.2 and 7.1.3 of the Company’s Articles of Association, Powszechne Towarzystwo Emerytalne PZU SA, with its registered seat in Warsaw, acting on behalf of Otwarty Fundusz Emerytalny PZU “Złota Jesień” (the “Entitled Shareholder”), has appointed Tomasz Styczyński to the Company’s Supervisory Board for a three-year term of office commencing on 13 June 2016.
Pursuant to the attached deposit certificate, the Entitled Shareholder holds 47,847,000 shares in the Company, which constitute 10.40% of the Company’s share capital and entitle the holder thereof to 10.40% of the votes at the general meeting of the Company.
Tomasz Styczyński graduated from the Faculty of Banking and Finance and the Faculty of Management and Marketing on Cracow University of Economics. Since 2001 he has been with Bank Handlowy in Warsaw. In 2014 he became Corporate Banking Director. Between 2012 and 2014 Mr. Styczyński was Customer Relations Director at the Department of Large Corporations and Director of the Department of Development and Acquisition of Corporate Banking. Before, between 2006-2012, He was Director of the Corporate Centre. In addition, in the years 2010-2011 he was Director of Management Development Program at Citibank N.A. London.
According to his statement, Tomasz Styczyński is not entered in the register of insolvent debtors maintained in compliance with the Act on the National Court Register dated 20 August 1997, does not perform any activities outside of the Company’s business which could be considered competitive with respect thereto, does not participate in any competitive business either as a partner in a civil partnership or any other type of partnership, and is not a member of the authorities of any competitive company or any other competitive entity.
According to his statement, Tomasz Styczyński fulfils the independence criteria as specified in Annex No. II to Commission Recommendation 2005/162/EC of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board and certain additional requirements set forth in the Best Practice of GPW Listed Companies attached to Resolution No. 27/1414/2015 adopted by the Warsaw Stock Exchange Management Board on 13 October 2015.
Legal grounds: Paragraph 5 sec. 1 point 22 of the Regulation of the Minister of Finance dated 19 February 2009 on the submission of current and periodical information by issuers of securities and on the conditions for treating as equivalent information required by the laws of a country which is not a member of the European Union.
