The Management Board of Globe Trade Centre S.A. (the “Company"), hereby informs that Annual Shareholders Meeting held on 14 May 2019, with its resolution no 19 approved Mr Mariusz Grendowicz as an Independent Supervisory Board member for a period of three years.

Mr. Mariusz Grendowicz has been a member of GTC’s Supervisory Board since 2000.  Mariusz Grendowicz has been a member of the Supervisory Boards of Aviva Poland since 2012, Arctic Paper SA since 2012 and Money Makers since 2012. In 2013 - 2014  he was President and Chief Executive Officer of Polish Investments for Development SA. In 2008-2010, he was President of the Management Board and Chief Executive Officer of BRE Bank SA, and earlier, in 2001- 2006 was a Vice President of Bank BPH SA, responsible for Corporate Banking and Real Estate Division. During his career, he was also President and Deputy President of ABN AMRO in Poland (1997-2001), Deputy President of ING Bank in Hungary (1995-1997) and headed division of structured finance and capital markets in ING Bank in Warsaw (1992-1995). In 1983-1992 Mariusz Grendowicz worked in banks in London, including Australia and New Zealand Banking Group and Citibank.Mariusz Grendowicz studied at the University of Gdańsk and then graduated with a degree in banking in the United Kingdom.

According to his statement, Mr. Mariusz Grendowicz is not entered in the register of insolvent debtors maintained in compliance with the Act on the National Court Register dated 20 August 1997, does not perform any activities outside of the Company’s business which could be considered competitive with respect thereto, does not participate in any competitive business either as a partner in a civil partnership or any other type of partnership, and is not a member of the authorities of any competitive company or any other competitive entity.

Additionally, the Management Board of Globe Trade Centre S.A. (the “Company”) announces that on 14 May 2019 it received a written statement of Powszechne Towarzystwo Emerytalne PZU SA, acting on behalf of Otwarty Fundusz Emerytalny PZU „Złota Jesień” (the “Entitled Shareholder”), according to which the Entitled Shareholder appoints Mr. Ryszard Koper as a member of the supervisory board of the Company for a new 3 year term effective 14 May 2019. Appointment was made pursuant to sections 9.1.point a), b),and c) and sections 9.24 of the articles of association of the Company.

Mr. Ryszard Koper has been a member of GTC’s Supervisory Board since May 2016. Ryszard Koper works at the law firm of KMR KOPER in Warsaw since 2004. Between 2001 and 2004 he worked at KPMG POLAND and KPMG POLAND AUDIT. Earlier in 2001-1999 he worked in a law firm of Beiten Burkhardt BBLP Mittl & Wegener (an office in Warsaw). In 1999-1997 Mr Koper worked in a law firm of Haarmann, Hemmelrath & Partner (an office in Warsaw). He is certified tax advisor. Ryszard Koper graduated from Łódź University’s Faculty of Law and Administration. He also completed postgraduate studies in tax law at the Faculty of Law, University of Osnabrück in Germany.

According to his statement, Mr. Ryszard Koper fulfils the independence criteria as specified in Annex No. II to Commission Recommendation 2005/162/EC of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board and certain additional requirements set forth in the Best Practice of GPW Listed Companies attached to Resolution No. 27/1414/2015 adopted by the Warsaw Stock Exchange Management Board on 13 October 2015.
