The Management Board of Globe Trade Center S.A. ("Company") hereby informs that on 16 May 2023, it received a notification from Powszechne Towarzystwo Emerytalne Allianz Polska S.A., acting on behalf of Allianz Polska Otwarty Fundusz Emerytalny ("Allianz OFE"), stating that on 12 May 2023, the share of Allianz OFE in the total number of votes in the Company were above the 10% threshold due to liquidation of Drugi Allianz Polska Otwarty Fundusz Emerytalny ("Drugi Allianz OFE") and the transfer of its assets to Allianz OFE.
Before the liquidation of Drugi Allianz OFE, Allianz OFE and Drugi Allianz OFE held jointly 62,330,336 shares in the Company, representing 10.85% of the share capital of the Company entitling to 62,330,336 votes in the Company and carrying the right to10.85% in the total number of votes in the Company.
After the liquidation of the Drugi Allianz OFE, Allianz OFE held directly 62,330,336 shares of the Company, representing 10.85% of the share capital of the Company entitling to 62,330,336 votes in the Company and carrying the right to10.85% of the total number of votes in the Company.
Allianz OFE has also notified that:
• it does not have subsidiaries which hold shares in the Company,
• a situation referred to Article 69 section 4 point 6 of the Polish Act on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and on Public Companies of 29 July 2005 does not take place,
• it does not hold financial instruments referred to Article 69b section 1 point 1 and 2 of the act mention above.
Additionally, Powszechne Towarzystwo Emerytalne Allianz Polska S.A. acting on behalf of Allianz OFE with its registered office in Warsaw, Poland, appointed Mr. Dominik Januszewski as a member of the Supervisory Board of the Company, effective immediately. Appointment was made pursuant to article 9 point 1 a) of the articles of association of the Company.
Dominik Januszewski is a Senior Advisor in the field of management and finance with more than 25 years of experience in Ernst&Young and Artur Andersen. Between 2005-2019 he worked as a Partner in Ernst&Young, responsible for business advisory, transaction consulting, privatization projects, as well as financial audits. Between 2016 and 2019 was a member of European Executive Boards of Ernst&Young Financial Sector Division. His clients included the largest financial institutions in Poland. Currently, he is responsible for Strategic Consulting team of JLL, focusing on development and implementation of ESG and energy optimisation strategies for enterprises.
Dominik Januszewski is a Polish Chartered Auditor. He completed many professional trainings relating to advisory and management. In 2018 completed the course for Top Executives in Harvard Business School. In 2022 obtained the University of Cambridge Certificate: „Business Sustainability Management”. Dominik Januszewski graduated from University of Łódź, Economics and Sociology Department, Finance and Banking Faculty.
According to his statement, Dominik Januszewski is not entered in the register of insolvent debtors maintained in compliance with the Act on the National Court Register dated 20 August 1997, does not perform any activities outside of the Company’s business which could be considered competitive with respect thereto, does not participate in any competitive business either as a partner in a civil partnership or any other type of partnership, and is not a member of the authorities of any competitive company or any other competitive entity. Dominik Januszewski also confirmed that he meets independence criteria of a supervisory board member set out by the European Union Commission in Annex II to the Commission Recommendation of 15 February 2005 concerning non-executive or supervisory directors of stock exchange companies and committees of the (supervisory) board (Official Journal of the EU.L.05.52.51) and additional requirements indicated in the Best Practices of Companies Listed on the Warsaw Stock Exchange, attached to Resolution No. 20/1287/2011 of the Exchange Supervisory Board of October 19, 2011.
Legal basis: Art. 70 point 1 of the Polish Act on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and on Public Companies of 29 July 2005 and Art. 5 point 5 of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic disclosures by issuers of securities and the conditions for recognising as equivalent the information that is required by the laws of a non-member state.
