On 26 May 2011 Globe Trade Centre S.A. (“GTC”) and Rodamco Central Europe B.V. (“UR”) a subsidiary of Unibal-Rodamco S.E. have signed a Preliminary Share Purchase Agreement regarding sale by GTC to UR of 188,964 shares of Rodamco CH1 Sp. z o.o. (“Shares”) owner of the Shopping Center Galeria Mokotów in Warsaw (“Project”). Shares constitute 50% stake in share capital of Rodamco CH1 and UR is the owner of the remaining 50% stake. Final sale of the Shares will be concluded within 6 months from signing of the Preliminary Share Purchase Agreement upon receipt of consent of Polish Antimonopoly Office (UOKiK) and two banks financing the Project. The sale price of the Shares was agreed at EUR 138,351,000, equivalent in Polish zloty to PLN 546,638,636 (at the average exchange rate published by the National Bank of Poland on 25 May 2011) and will be appropriately adjusted based on the balance sheet of Rodamco CH1 as of the day of the final sale and is based on the agreed value of the Project of EUR 475,000,0000, equivalent in Polish zloty to PLN 1,876,772,500 (at the average exchange rate published by the National Bank of Poland on 25 May 2011).
Legal grounds: Legal grounds: §5 sec. 1 of the Regulation of the Council of Ministers of 19 February 2009 concerning the submission of current periodical information by the securities' issuers and the conditions of recognizing as equal the information demanded by the national lawful regulation of a country which does not hold the membership in European Union.
