The Management Board of Globe Trade Centre S.A. (the “Company”) hereby reports that it was notified of the appointment of Mr. Shouky Oren to the Company’s Supervisory Board by GTC Real Estate Holing B.V. with its seat in Amsterdam. The appointment, which was made pursuant to Art. 7.1.1, Art. 7.1.2 and Art. 7.1.3 of the Company’s Articles of Association, takes effect as from April 6th 2012.
Mr Shouky Oren graduated the Hebrew University in Jerusalem in 1984 with the BA degree in Economics. In 1996 he graduated the Hebrew University in Jerusalem with an MBA. In the years 1986 - 1993 and 2007 - 2011 he performed various management functions at the Ministry of Finance, the Council of Ministers in Israel, including the Accountant General (CFO). He was responsible for, inter alia, the planning and implementation of the crisis intervention tools. In the years 2002 - 2007 he was the General Manager (CEO) of Bank Leumi Switzerland. His responsibilities included, inter alia, the restructuring of the bank following the international economic downturn in 2001 and reinstating profitability in the bank as well as the bank's regaining of the position of one of the leading international private banks. In the years 1994 - 2002 he performed various managerial functions at Investec Bank (Izrael) Ltd (formerly Izrael General Bank). In February 2012, Shouky Oren started his employment with Kardan N.V., where Supervisory Board has recomended him to the position of Chairman of the Management Board will be taken by the Annual Shareholding Meeting of Kardan N.V.
Mr Shouky Oren is not entered in the register of insolvent debtors maintained in compliance with the Act on the National Court Register dated 20 August 1997, he does not perform any activities outside of the Company’s business which could be considered competitive thereto, he does not participate in any competitive business either as a partner in a civil partnership or any other type of partnership, and he is not a member of the authorities of any competitive company or any other competitive entity.
Mr Shouky Oren fulfills the independence criteria as specified in Annex No. II to Commission Recommendation 2005/162/EC of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board.
