The Management Board of Globe Trade Centre S.A. (the “Company”) hereby announces that pursuant to Articles 7.1.1, 7.1.2 and 7.1.3 of the Company’s statute, on 15 March 2013 AVIVA Powszechne Towarzystwo Emerytalne AVIVA BZ WBK S.A. seated in Warsaw (02-672), ul. Domaniewska 44, acting on behalf of AVIVA Otwarty Fundusz Emerytalny appointed Marcin Murawski to the Company’s Supervisory Board. AVIVA Otwarty Fundusz Emerytalny is the Company’s shareholder holding more than 10% in the share capital of the Company and therefore entitled to appoint two members of the Company’s Supervisory Board.
Marcin Murawski graduated from the Faculty of Management of Warsaw University in 1997. He has also following certificates: ACCA (1999), ACCA Practicing Certificate (2003), KIBR entitlement (2003), CIA (2005). Since 2012 he has been a member of the Supervisory Board of CCC S.A. Between 2005 and 2012 Mr. Murawski was a Director of Internal Audit and Inspection Department at WARTA Group and a Secretary of Audit Committee at TUIR WARTA S.A. and TUNŻ WARTA S.A. Between 1997 and 2005 he worked at PricewaterhouseCoopers Sp. z o.o., as Manager of Audit Department (2002-2005), Senior Assistant of Audit Department (1999-2001), Assistant of Audit Department (1997-1999).
According to his statement, Mr Murawski is not entered in the register of insolvent debtors maintained in compliance with the Act on the National Court Register dated 20 August 1997, does not perform any activities outside of the Company’s business which could be considered competitive thereto, does not participate in any competitive business either as a partner in a civil partnership or any other type of partnership, and is not a member of the authorities of any competitive company or any other competitive entity.
According to his statement, Marcin Murawski fulfils the independence criteria as specified in Annex No. II to the Commission Recommendation 2005/162/EC of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board.
