The Management Board of Globe Trade Centre S.A. ("GTC") hereby informs that on 22 April 2013 it received from ING Powszechne Towarzystwo Emerytalne S.A. seated in Warsaw (00-342), ul. Topiel 12, acting on behalf of ING Otwarty Fundusz Emerytalny an information that it is recalling Mr Wojciech Napiorkowski from his position as the Member of Supervisory Board of Globe Trade Centre S.A. and nominating Mr Dariusz Stolarczyk to the Supervisory Board of Globe Trade Centre S.A.

Dariusz Stolarczyk graduated from the Information Technology at Silesian Technical University with Master of Science and Engineering and post graduated studies in Management Accounting and Controlling at Warsaw School of Economics (SGH). Mr Stolarczyk also completed a Strategic Finance Program at IMD Business School in Lausanne and Advances Management Program (AMP) at IESE Business School University of Navarra in Barcelona. Dariusz Stolarczyk has been working for NFI Empik Media and Fashion (NFIEMF) since 2007 as the Board Member and Director of Operations, IT and Supply Chain. Between 1998 and 2007 he worked at Accenture as a Products Operating Group Lead in Poland and member of Warsaw Office management (2006-2007), Retail Industry Lead in Central and Eastern Europe and Russia (2004-2006) and Senior Manager (official position since 2005). Mr Stolarczyk has been an independent member of the Supervisory Board of Asseco Poland since 2012.

According to his statement, Mr Stolarczyk is not entered in the register of insolvent debtors maintained in compliance with the Act on the National Court Register dated 20 August 1997, does not perform any activities outside of the Company’s business which could be considered competitive thereto, does not participate in any competitive business either as a partner in a civil partnership or any other type of partnership, and is not a member of the authorities of any competitive company or any other competitive entity.

According to his statement, Mr Stolarczyk fulfils the independence criteria as specified in Annex No. II to the Commission Recommendation 2005/162/EC of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board.
