Further to current report No. 5/2014 dated 22 January 2014, the management board of Globe Trade Centre S.A. (the “Company”) hereby announces that on 23 January 2014 it received letters dated 23 January 2014 sent with respect to notifications dated 20 January 2014 on a change in the shareholding of the Company by at least 2% of the votes in the Company (the “Notifications”) from:
- LSREF III GTC Investments B.V. (“LSREF III”); and
- Lone Star Real Estate Partners III L.P. (“Lone Star” and together with LSREF III, the “Notifying Parties”).
In such letters, the Notifying Parties asked the Company to disregard the Notifications as they had been sent erroneously. The Notifying Parties explained that the error resulted from the fact that the total number of votes and shares directly held by LSREF III and indirectly held by Lone Star provided in the Notifications, i.e. 105,047,241, included the 11,000,000 series J shares which LSREF III subscribed for on 16 January 2014. The increase of the share capital by way of the issuance of the series J shares has not yet been registered with the registry court. Such shares do not entitle the holder thereof to votes at the general meeting of the Company.
The Notifying Parties informed the Company that as at 23 January 2014, LSREF III (directly) and Lone Star (indirectly) hold 94,047,241 shares in the Company, which represent 29.4475% of the entire issued share capital of the Company and entitle the holders thereof to the corresponding share of the votes at the general meeting of the Company. Consequently, the Notifying Parties increased their share in the votes in the Company by a mere 1.6944%; therefore, there was no legal basis for providing the Company with the Notification under Article 69 of the Polish Act on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies of 29 July 2005 (amended and restated: Journal of Laws of 2013, item 1382).
