The Management Board of Globe Trade Centre S.A. (the “Company”) hereby announces that pursuant to Articles 7.1.1, 7.1.2 and 7.1.3 of the Company’s Articles of Association, AVIVA Powszechne Towarzystwo Emerytalne AVIVA BZ WBK S.A., with its registered seat in Warsaw (address: ul. Domaniewska 44, 02-672 Warsaw), acting on behalf of AVIVA Otwarty Fundusz Emerytalny Aviva BZ WBK (the “Shareholder”), has appointed Marcin Murawski to the Company’s Supervisory Board for a further three-year term of office commencing on 24 May 2016. The Shareholder is an Entitled Shareholder within the meaning of the Company’s Articles of Association holding more than 5% of the Company’s share capital, and therefore is entitled to appoint one member of the Company’s Supervisory Board.

Marcin Murawski graduated from Warsaw University’s Faculty of Management in 1997. He also has the following certificates: ACCA (1999), ACCA Practicing Certificate (2003), KIBR Entitlement (2003), and CIA (2005). Since 2012 he has been a member of the Supervisory Board of CCC S.A..and a member of the Supervisory Board and an Audit Committee member of Apator S.A. Between 2005 and 2012 Mr. Murawski was the Director of the Internal Audit and Inspection Department at WARTA Group and a Secretary of the Audit Committee at TUIR WARTA S.A. and TUNŻ WARTA S.A. Between 1997 and 2005 he worked at PricewaterhouseCoopers Sp. z o.o., as Manager of the Audit Department (2002-2005), Senior Assistant of the Audit Department (1999-2001), and Assistant of the Audit Department (1997-1999).

 According to his statement, Mr Murawski is not entered in the register of insolvent debtors maintained in compliance with the Act on the National Court Register dated 20 August 1997, does not perform any activities outside of the Company’s business which could be considered competitive with respect thereto, does not participate in any competitive business either as a partner in a civil partnership or any other type of partnership, and is not a member of the authorities of any competitive company or any other competitive entity.

According to his statement, Marcin Murawski fulfils the independence criteria as specified in Annex No. II to Commission Recommendation 2005/162/EC of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board and certain additional requirements set forth in the Best Practice of GPW Listed Companies attached to Resolution No. 27/1414/2015 adopted by the Warsaw Stock Exchange Management Board on 13 October 2015.

Legal grounds: Paragraph 5 sec. 1 point 22 of the Regulation of the Minister of Finance dated 19 February 2009 on the submission of current and periodical information by issuers of securities and on the conditions for treating as equivalent information required by the laws of a country which is not a member of the European Union.
