The management board of the Company hereby informs that on 21 December 2018 it received a written statement of GTC Dutch Holdings B.V., with its registered seat at Herikerbergweg 238, Luna Arena 1101 CM Amsterdam, the Netherlands, (the “Entitled Shareholder”), according to which the Entitled Shareholder, pursuant to sections 9.1.a), 9.1b) and 9.1c) of the articles of association of the Company appoints Mr. Patric Haerle as a member of the supervisory board of the Company, effective immediately.

Pursuant to its statement and the deposit certificate attached thereto, the Entitled Shareholder holds 298,575,091 shares in the Company, which constitute 61.75% of the Company’s share capital and entitles the holder thereof to 61.75% of the votes at the general meeting of the Company.

Patrick Haerle has over 12 years of experience in national and cross-border commercial real estate investments, transactions (asset and share deals) and development projects, including financing throughout Europe. He is experienced in complex single asset and portfolio transactions across the entire sector. As Senior Vice President Legal & Closing of Hudson Advisors Germany GmbH he focuses on transactional work, including M&A, financing and debt restructuring as well as asset management regarding Lone Star investments in Germany, Austria and CEE/SEE. Mr. Haerle also serves as member and deputy chairman of the Supervisory Board of Centrice Real Estate GmbH. Prior to joining Hudson Advisors Germany GmbH, Mr. Haerle practiced for more than seven years at a large international law firm, where he advised national and international clients on all aspects of real property law with a focus on the law of sale/acquisition of real property, project developments and the law of commercial tenancy. Mr. Haerle studied law at the universities of Constance and Montpellier and is admitted as company lawyer and lawyer to the bar of Frankfurt am Main, Germany.

According to his statement, Mr. Haerle is not entered in the register of insolvent debtors maintained in compliance with the Act on the National Court Register dated 20 August 1997, does not perform any activities outside of the Company’s business which could be considered competitive with respect thereto, does not participate in any competitive business either as a partner in a civil partnership or any other type of partnership, and is not a member of the authorities of any competitive company or any other competitive entity.
