The Management Board of Globe Trade Centre S.A. (the “Company”) announces that on 1 June 2022 it received a written statement of Aviva Powszechne Towarzystwo Emerytalne Aviva Santander S.A., with its registered seat at Inflancka 4B,00-189 Warsaw acting on behalf of AVIVA Otwarty Fundusz Emerytalny Aviva Santander (the “Entitled Shareholder”), according to which the Entitled Shareholder appoints Marcin Murawski as a member of the supervisory board of the Company, effective 14 June 2022. Appointment was made pursuant to sections 9.1.a of the articles of association of the Company.
Pursuant to its statement and the deposit certificate attached thereto, the Entitled Shareholder holds 47,364,000 shares in the Company, which constitute 8.25% of the Company’s share capital and entitles the holder thereof to 8.25% of the votes at the general meeting of the Company.
Marcin Murawski graduated from the Faculty of Management of Warsaw University. He also holds the following certificates: ACCA, ACCA Practising Certificate, KIBR entitlement, CIA. He has been an independent member of the supervisory board and chairman of the audit committee of: GTC S.A., CCC S.A, Apator S.A., SecoWarwick S.A., SANTANDER-AVIVA JV TU S.A., SANTANDER-AVIVA JV TUNŻ S.A. Between 2005 and 2012 Mr Murawski was a director of the internal audit department at WARTA Group - KBC GROUEP NV and secretary of the audit committee at TUIR WARTA S.A. and TUNŻ WARTA S.A. Between 1997 and 2005 he worked at PricewaterhouseCoopers Sp. z o.o., as manager of the audit department (2002-2005), senior assistant in the audit department (1999-2001), assistant in the audit department (1997-1999)
According to his statement, Marcin Murawski is not entered in the register of insolvent debtors maintained in compliance with the Act on the National Court Register dated 20 August 1997, does not perform any activities outside of the Company’s business which could be considered competitive with respect thereto, does not participate in any competitive business either as a partner in a civil partnership or any other type of partnership, and is not a member of the authorities of any competitive company or any other competitive entity.
According to his statement, Marcin Murawski fulfils the independence criteria as specified in Annex No. II to Commission Recommendation 2005/162/EC of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board and certain additional requirements set forth in the Best Practice of GPW Listed Companies attached to Resolution No. 27/1414/2015 adopted by the Warsaw Stock Exchange Management Board on 13 October 2015.
