(“GTC” or “the Company”)

The management board of Globe Trade Centre Spółka Akcyjna (the “Company”) announces that answering the concerns raised by the minority shareholders, it decided to amend the draft of resolution No. 3 of the Extraordinary General Meeting of the Company convened for 20 September 2022 regarding the increase of the Company’s share capital through the issuance of ordinary series P bearer shares, the exclusion of all of the pre-emptive rights of the existing shareholders to all of the series P shares, the amendment of the Company’s Statute, the application for the admission and introduction of the series P shares and/or rights to the series P shares to trading on the regulated market operated by the Warsaw Stock Exchange and the dematerialisation of the series P shares and/or rights to the series P shares (the “Resolution”). The wording of the initial draft of the Resolution was published in current report No. 38/2022 of 24 August 2022 (Convocation of the Extraordinary General Meeting of the Company for 20 September 2022). All changes are presented in the attached redline and relates mainly to the maximum number of shares. The new draft of Resolution No. 3 is attached as a schedule to this current report.

All other information concerning the convocation of the Extraordinary General Meeting that were disclosed in current report No. 38/2022 of 24 August 2022, including any documents attached thereto, remain unchanged.
