The Management Board of Globe Trade Center S.A. („Company”) hereby informs that on 12 December 2025, it received a written notice from GTC Dutch Holdings B.V. with its registered office in Amsterdam, the Netherlands (the “Entitled Shareholder”), according to which the Entitled Shareholder appoints Mr. Csaba Ember as member of the Supervisory Board of the Company, effective immediately. The appointment was made pursuant to article 9 point 1 a)-c) of the Articles of Association of the Company.
Pursuant to the deposit certificate attached to the notice, Entitled Shareholder holds 337,637,591 shares in the Company, which constitute 58.80% of the Company’s share capital, and therefore Entitled Shareholder is entitled to appoint members of the Supervisory Board of the Company pursuant to the Articles of Association of the Company.
According to the statements Mr. Csaba Ember is not entered in the register of insolvent debtors maintained in compliance with the Act on the National Court Register dated 20 August 1997, does not conduct any business activity outside the Company that is competitive with its operations., does not participate in any competitive business either as a partner in a civil partnership or any other type of partnership, and is not members of the authorities of any competing company or any other competing entity.
Moreover, Mr. Ember fulfils the independence criteria as specified in Annex No. II to Commission Recommendation 2005/162/EC of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board.
Dr. Csaba Ember is an attorney-at-law having more than 25 years of experience in international transactions in the field of financing, capital markets, M&A and infrastructure. He is currently the managing partner of Martonyi & Partner Law Firm. Before his current position he held senior positions at various international law firms such as Baker McKenzie where he was involved in major real estate development and acquisition financing, capital markets transaction. After that he joined Deloitte Legal as associate partner leading the firm’s banking & finance practice then he became the banking & finance practice head of Gide Loyrette Nouel in Budapest. Later Dr. Csaba Ember moved in-house as legal director of a major state-owned Hungarian energy company (Főgáz Ltd.) and afterwards as the chief legal counsel of the asset division of MET Group where he was responsible, among others, for the financing and M&A transactions of the companies. Dr. Csaba Ember is an arbitrator of the energy section of the Permanent Arbitration Court attached to the Hungarian Chamber of Commerce and Industry.
