Current report no 13/2025: Changes in the Management Board of Globe Trade Centre S.A.

The Management Board of Globe Trade Centre S.A. (“Company”) hereby informs that on 28 May 2025 the Supervisory Board of the Company adopted a resolution regarding the dismissal of Mr. Gyula Nagy from the position of the President of the Management Board of the Company and the appointment of Ms. Małgorzata Czaplicka to the position of the President of the Management Board of the Company, effective as of the moment of the adoption of the resolution.

Ms. Małgorzata Czaplicka has background in real estate, finance, corporate communications and strategic engagement with financial markets. Since 2010, she has held the position ofInvestor Relations DirectoratGlobe Trade Centre S.A. (GTC S.A.).

As ofJanuary 2025, Ms. Czaplicka serves asChief Financial Markets Officer (CFMO), overseeing the development and execution of GTC’s capital markets strategy. In this role, she leads the company’s debt and equity capital market activities and ensures access to efficient, long-term financing to support GTC’s real estate investment objectives.

Throughout her tenure at GTC, Ms. Czaplicka has played a pivotal role in shaping the company’s capital structure through successful capital-raising initiatives and the management of debt instruments listed on theWarsaw,Johannesburg,Budapest, andEuronextstock exchanges. Her responsibilities also include coordinating financing strategies with international financial institutions, overseeing ESG initiatives, and chairing theGreen Bond Committee.

In addition to her financial markets responsibilities, she serves asCompany Secretary, managing the Office of the Management Board and Supervisory Board, and actively contributes to M&A processes and bank financing negotiations.

Prior to joining GTC S.A., Ms. Czaplicka held senior positions in several high-profile companies, where she led capital market communications strategies. Her previous roles include:

Ms. Czaplicka holds a degree inFinance and Bankingfrom theWarsaw School of Economics, and studied atDeakin Universityin Warrnambool, Australia. She also completed the“Professional Supervisory Board”postgraduate program atKozminski University.

According to statement she has made, Ms. Małgorzata Czaplicka is not entered in the register of insolvent debtors maintained pursuant to the Polish Act on the National Court Register dated 20 August 1997, does not perform any activities outside of the Company’s business which could be considered competitive thereto, does not participate in any competitive business, either as a partner in a civil partnership or any other type of partnership, is not a shareholder of a capital company and is not member of the authorities of any competitive company or any other competitive entity.
