(“GTC” or “the Company”)

The Management Board of Globe Trade Centre S.A. (“the Company”) hereby informs that on 21 April 2022 it received a written statements of Icona Securitization Opportunities Group S.à r.l. acting on behalf of its compartment Central European Investments with its registered office in Luxembourg, Grand Duchy of Luxembourg (“Entitled Shareholder”), according to which the Entitled Shareholder appoints Mr. Bruno Vannini as member of the Supervisory Board of the Company, effective immediately. Appointment was made pursuant to article 9 point 1 of the articles of association of the Company.

Pursuant to its statement and the deposit certificate attached thereto, the Entitled Shareholder holds 90,176,000 shares in the Company, which constitute 15.7% of the Company’s share capital.

Mr. Bruno Vannini has been the General Counsel and Head of Acquisitions and Structuring of Icona Capital since 2022. Prior to joining Icona Capital, he worked as Partner responsible for banking and finance at SBKG & ASSOCIES between 2017 and 2021. Earlier, he was an Associate at Clifford Chance specializing in banking and finance between 2012-2017. From 2006 to 2012, Mr. Vannini worked as an Associate at ORRICK RAMBAUD MARTEL specializing in global finance. Mr Vannini started his professional career in 2005 as an Associate at Gide Loyrette Nouel.

Mr. Vannini graduated with a master's degree in Business Law from Université de Versailles – Saint-Quentin en Yvelines. He also completed his postgraduate studies in Contracts Law (Université de Versailles – Saint-Quentin en Yvelines) and International Business (Université Paris IX – Dauphine). He was admitted to the Paris Bar in March 2005.

According to his statement, Mr. Vannini is not entered in the register of insolvent debtors maintained pursuant to the Act on the National Court Register of 20 August 1997 and is not engaged in any activities competitive to the Company's business, does not participate in a competitive company as a partner in a civil law partnership, a partnership or as a member of the authority of a capital company or another competitive legal entity.
